These Terms establish the legal and operational framework governing your partnership with Elephant Media.

1. ENGAGEMENT OVERVIEW

Elephant Media provides content packaging, rights management, distribution infrastructure, and revenue optimization services. Partnership is non-exclusive; you retain full intellectual property ownership.

2. ELIGIBILITY & REPRESENTATION

By enrolling, you confirm:

  • You own or hold transferable commercial rights for submitted content
  • All materials comply with applicable laws and brand-safety guidelines
  • You are authorized to enter binding agreements on behalf of the rights holder

3. LICENSE GRANT

You grant Elephant Media a revocable, non-exclusive, royalty-based license to distribute and monetize content under mutually agreed terms. This license is operationally limited to selected platforms and durations.

4. REVENUE STRUCTURE

  • Revenue is shared as per the executed partnership schedule
  • Payments are made monthly upon receipt of confirmed earnings from partner networks
  • Elephant Media's remuneration is performance-based — we earn only when you do

5. OPERATIONAL OBLIGATIONS

Elephant Media shall:

  • Maintain compliance with partner platform standards
  • Ensure accurate revenue reporting
  • Provide timely payments and transparent communication

The Partner shall:

  • Provide rights-cleared content and accurate metadata
  • Notify Elephant Media of any rights or ownership changes

6. COMPLIANCE & REMOVAL

Content breaching legal, ethical, or platform policies may be withheld or removed without prejudice. Elephant Media reserves the right to suspend distribution pending resolution.

7. TERMINATION

Either party may terminate the partnership with 30 days' written notice. Outstanding earnings will be reconciled and remitted in the next payment cycle.

8. CONFIDENTIALITY

All reports, data, and correspondence are treated as confidential. Disclosure is permitted only where required by law or mutual consent.

9. LIMITATION OF LIABILITY

Elephant Media shall not be liable for indirect, consequential, or incidental losses, including but not limited to platform algorithm changes or external disruptions.

10. GOVERNING LAW

This agreement is governed by the laws of Delaware, USA. Disputes will be resolved through binding arbitration under recognized mediation bodies.
